At the recent Corporate Reporting Forum in NY hosted by IR Magazine and Governance Intelligence, Ron Schneider, DFIN’s Director of Corporate Governance Services, participated on a panel titled “Preparing for the next proxy season: Essential Steps”. Following the panel, Ron was interviewed by the sponsors. In the interview (which can be viewed at the link below), Ron discussed the increasing prevalence and depth of board cybersecurity oversight discussions in 2024 proxies, in the context of an ever- increasing array of issues boards must effectively oversee, causing many proxies to become more board-centric documents. When discussing “ESG backlash”, he applauded the trend to disaggregate the catch-all “ESG” term and speak more clearly about particular issues that are integrated into the company’s business strategy.
